Welcome to wCard.io! These terms and conditions ("Terms") govern your use of the wCard.io website and the services provided by Wcard Technology Private Limited ("Wcard," "we," or "us"). By accessing or using wCard.io, you agree to be bound by these Terms. Please read them carefully before using our services.

We reserve the right, at our sole discretion, to modify or revise these Terms of Service in whole or in part at any time. If we make any changes, we will post the updated Terms on this page and indicate the date of the last revision at the top of the page. We will also notify you of these changes through the Services user interface, email notification, or other reasonable means. For existing users of the Services, the revised Terms will become effective no earlier than fourteen days after they are posted, unless the changes pertain to new functions of the Services or are made for legal reasons, in which case they will be effective immediately. For new users signing up for the Services, any changes to the Terms will be effective immediately upon acceptance. Your continued use of the Service after the effective date of any such changes constitutes your acceptance of the modified Terms of Service.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST WCARD.IO TO BINDING AND FINAL ARBITRATION, AND FURTHER (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST WCARD.IO ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST WCARD.IO RESOLVED BY A JURY OR IN A COURT OF LAW.

1. Acceptance of Terms

By accessing or using wCard.io, you agree to these Terms, and you represent and warrant that you have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. If you do not agree to these Terms, you may not access or use wCard.io.

2. Description of Service

wCard.io is a digital business card platform that allows users to create, manage, and share their digital business cards online. We provide tools and features to enhance your professional networking experience. Please note that we may update or modify the services provided by wCard.io from time to time, and such changes will be subject to these Terms.

3. User Accounts and Registration

  1. In order to access certain features of wCard.io, you may need to create a user account. When registering, you must provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. Notify us immediately of any unauthorized use of your account.

  2. You must be at least 18 years old to create a user account on wCard.io. If you are under 18, you may only use wCard.io with the involvement and consent of a parent or legal guardian.

4. User Content

  1. wCard.io allows you to create and share content, including your digital business card information ("User Content"). You retain ownership of your User Content, and by uploading or sharing it on wCard.io, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, distribute, and display your User Content for the purpose of providing the services offered by wCard.io.

  2. You represent and warrant that you have the necessary rights to grant the license described above, and that your User Content does not infringe upon the rights of any third party or violate any applicable laws or regulations.

  3. We reserve the right to remove or disable any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.

5. Prohibited Conduct

  1. You agree not to use wCard.io for any unlawful, harmful, or inappropriate purposes. You may not:

    • Violate any applicable laws or regulations;
    • Infringe upon the rights of others;
    • Use wCard.io to send spam, unsolicited messages, or other unauthorized communications;
    • Attempt to gain unauthorized access to wCard.io or any user accounts;
    • Interfere with or disrupt the operation of wCard.io;
    • Use any automated means to access or use wCard.io, unless explicitly permitted by us.

  2. We reserve the right to suspend or terminate your access to wCard.io if you violate any of these Terms or engage in any prohibited conduct.

6. Intellectual Property Rights

  1. All intellectual property rights in wCard.io, including but not limited to copyrights, trademarks, and trade secrets, are owned by Wcard Technology Private Limited or its licensors. You may not use, reproduce, modify, adapt, or distribute any part of wCard.io without our prior written consent.

  2. You retain ownership of the intellectual property rights in your User Content. By uploading or sharing User Content on wCard.io, you grant us the license described in Section 4(a).

7. Disclaimer of Warranties

  1. wCard.io is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We do not guarantee that wCard.io will be error-free, uninterrupted, or secure.

  2. We disclaim all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You use wCard.io at your own risk.

8. Limitation of Liability

  1. In no event shall Wcard Technology Private Limited be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of wCard.io, whether based on contract, tort, strict liability, or other legal theory.

  2. b. Our total liability to you for any claims arising from or related to these Terms or your use of wCard.io shall not exceed the amount paid by you, if any, for accessing the services provided by wCard.io.

9. Indemnification

You agree to indemnify, defend, and hold harmless Wcard Technology Private Limited, its officers, directors, employees, and agents, from and against any and all claims, damages, losses, liabilities, and expenses arising out of or in connection with your use of wCard.io or any violation of these Terms.

10. Modifications to the Terms

We reserve the right to modify or update these Terms at any time, and such modifications will be effective upon posting on wCard.io. You are responsible for regularly reviewing these Terms. Continued use of wCard.io after any modifications constitutes your acceptance of the modified Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.

13. Entire Agreement

These Terms constitute the entire agreement between you and Wcard Technology Private Limited regarding your use of wCard.io, superseding any prior agreements or understandings.

14. Your Privacy

At wCard.io, we respect the privacy of our users. For details please see our Privacy Policy at https://wcard.io/privacy-policy. By using the Service, you consent to our collection and use of personal data as outlined therein.

For Resellers using the white label:

15. Reseller Restrictions

  1. Resellers utilizing the white label option are granted permission to customize and rebrand the wCard.io platform for their own business purposes. However, Resellers are strictly prohibited from using the term "wCard.io" in any form, including but not limited to the use of the word, screenshots of wCard.io, logo, or any other identifiable elements associated with wCard.io without obtaining written permission from Wcard Technology Private Limited.
  2. Resellers must seek written consent from Wcard Technology Private Limited for the use of any wCard.io branding elements, trademarks, or copyrighted materials. Unauthorized use of such materials is strictly prohibited and may result in legal action.
  3. Wcard Technology Private Limited reserves the right to review and approve any proposed usage of its branding elements by Resellers. Approval, if granted, will be provided in written form and will specify the scope and duration of the permission.
  4. Resellers found in violation of these restrictions may be subject to termination of their white label agreement and legal consequences as per applicable laws.

Please ensure that you comply with these additional terms and restrictions as a Reseller utilizing the white label option of wCard.io.
